Advertising and Sponsorship Terms
The rules for agencies, brands and individuals who buy ad space, sponsorships, sponsored posts or any other paid placement on Book Recommendations.
These terms apply to every purchase of advertising, sponsorship or paid promotion directly from Book Recommendations ("we", "us"), whether you are an advertiser, a media agency, a network or a reseller acting for a client ("you"). They apply together with any insertion order, proposal, invoice or email booking ("Order"). If an Order signed by both sides conflicts with these terms, the Order wins for that Order only. Our public rules for ads are in the advertising policy.
1. What can be bought
We may offer, on request and as we choose, any of the following ("Placements"): display banners; sponsorships of pages, tools, guides or sections; sponsored articles and guest posts; native or in-content promotions; newsletter, email, social media, podcast or video sponsorships; text links and link placements; product listings and directory entries; takeovers and exclusive placements; lead-generation, cost-per-action and affiliate or revenue-share deals; product placement and tool integrations; and custom packages. Not every format is always available, in every location or to every advertiser.
2. Who is buying: agencies and clients
- If you buy for a client, you confirm that you are authorised to bind the client and that these terms bind both you and the client. Unless we agree in writing that the client alone is responsible, you are responsible to us for payment and for compliance, even if your client has not paid you.
- We may ask for the identity of the end advertiser, its website and the products or services advertised before we accept an Order.
- Resellers and networks may not sub-sell our Placements to others without our written consent.
3. Orders, approval and rejection
- An Order is accepted only when we confirm it in writing (email is enough). Until then, we may change or withdraw a quote, and Placements are not reserved.
- We may reject, pause, change or remove any advertisement or sponsored content at any time, before or after it goes live, for any reason, including that we think it breaks these terms, the law, a platform or ad-network policy, or is not suitable for our readers. If we remove it before delivery, we give you a pro rata credit or refund for the unused part. We are not liable for loss from rejection or removal made in good faith.
- We keep the right to reasonably decide placement, size, position, timing and frequency. Placements and their position can change as the site design changes.
4. Content standards for advertisers
All advertising, landing pages, sponsored content and linked sites must be lawful, honest and appropriate for a general adult audience of authors and readers. We do not accept, and will remove without refund of the affected period, anything that:
- is illegal, fraudulent, deceptive or misleading, includes fake testimonials, fake countdowns, fake system alerts, "you have won" or "your device is infected" messages, or hides important costs and terms;
- promotes adult or sexually explicit content, escort or dating-for-sex services, or content that sexualises minors in any way;
- is hateful, violent, harassing, graphic or shocking, or promotes self-harm, eating disorders or discrimination;
- promotes illegal drugs, drug paraphernalia, weapons, ammunition, explosives, counterfeit or pirated goods, stolen content, fake documents, academic cheating (essay mills), hacking, spyware, surveillance of others or malware;
- promotes online gambling, betting, casinos, binary options, unregulated financial products, get-rich-quick or "guaranteed income" schemes, pyramid or multi-level schemes, payday loans or cryptocurrency offers, unless we agree in writing in advance and the law allows it;
- makes unsupported health, medical or miracle claims, or promotes tobacco, vaping or prescription medicine;
- infringes copyright, trademark, privacy or other rights, or is a scam or phishing site;
- is political or issue advertising that is not clearly labelled or breaks election or advertising law;
- competes directly with our own products or services, where we say so in the Order.
Content aimed at authors, such as editing, cover design, publishing services, book-marketing and writing tools, is welcome, as long as it makes only claims you can prove. Anything that promises book sales, bestseller rank, reviews or income must say clearly that results are not guaranteed, and review-buying, fake-review and rank-manipulation services are not accepted.
5. Advertisement labelling and the rules that protect readers (and our ad partners)
- Labels. We clearly label paid content as "Advertisement", "Sponsored" or "Paid partnership", in line with the rules of regulators such as the FTC and ASA. You must not ask us to hide, remove or weaken a label, and you must not remove or alter one.
- Paid links. Links in sponsored posts, link placements and any other paid placement carry
rel="sponsored"(and where suitablenofollow), as search engines require. We do not sell links that pass ranking value, and you may not ask us to. - No imitation. Directly sold ads must not copy the look, layout, colours or labels of Google AdSense or any other ad network's ads or consent messages, or of our menus, tools, buttons or downloads, and must not appear to be part of an ad unit served by an ad network.
- No click encouragement. Ads must not encourage anyone to click, use arrows, "click here" prompts pointing to other ads, rewards for clicks, or misleading images or buttons.
- Formats. No pop-ups, pop-unders, interstitials that block the page, forced redirects, auto-download, auto-expand, ads with sound that plays without a click, flashing or strobing animation, or ads that follow the reader around the page.
- Performance and safety. Creative must be served over HTTPS, be small and fast, include no malware, no cryptominers, no fingerprinting and no hidden redirects. We may test and block any tag that slows or harms the site.
- Placement limits. We decide where ads appear. Placements will not be put in a way that could be confused with content, near or inside the units of another ad network, or on pages without real content.
- Editorial independence. Buying a Placement does not buy a review, a recommendation, a ranking or any change to a calculation. Sponsored articles are written or approved to meet our editorial policy and must be accurate. We may edit them or refuse them.
6. Creative materials and tags
- You provide creative to our written specifications by the agreed date. Late creative may mean a late start without any reduction in the price.
- You promise that you own or have licences for everything you supply (text, images, music, trademarks, people's likenesses), and that it is true and lawful.
- You give us a non-exclusive, worldwide licence to host, copy, display, resize, adapt for formatting and cache the creative, and to show it in reports and, with your consent, in case studies, for the campaign and a reasonable time after.
- If you use third-party ad servers, tracking pixels or tags, you must tell us what they are. They must comply with the law, our privacy policy and the signals from our consent tool. They must not collect personal data from our visitors, or combine it with other data, without a lawful basis and the consent that the law requires. We may refuse tags and remove them at any time.
- We do not give you our visitors' personal data. Reports show aggregate figures only.
7. Prices, taxes and payment
- Prices are set in the Order, in the currency stated, and exclude taxes unless said otherwise. You pay any sales tax, VAT, GST or withholding tax that applies, and if you must withhold tax, you pay extra so that we receive the full agreed amount, unless the law forbids it.
- Unless the Order says otherwise, we invoice in advance and payment is due within 14 days of the invoice (or before the start date, if earlier). Large or long Orders may be invoiced in instalments.
- We may suspend delivery of a Placement while a payment is overdue. Late amounts bear interest at 1.5% per month, or the highest rate the law allows, if lower, plus reasonable collection costs.
- Agencies are responsible for payment regardless of whether the client pays them ("sequential liability" does not apply, unless we agree in writing).
- Payments are non-refundable except as stated in section 10.
8. Reporting and measurement
We may give you reports on views, clicks or other agreed measures, using our own records or our ad-server's. Numbers from different systems often differ by some percent (counting methods, ad blockers, bots, consent choices, caching), and our figures are used for billing unless a mistake is shown. Invalid or non-human activity is filtered and not billed. Report problems in writing within 30 days of the end of the campaign.
9. No guarantee of traffic or results
Traffic, audience, rankings, search position and visitor behaviour change. Unless the Order says in plain words that a minimum number is guaranteed, we give no guarantee of any level of impressions, clicks, views, subscribers, sales, leads, conversions, rankings, revenue or return on investment. Any figures in a media kit, proposal or email are estimates of past or expected performance, not promises. If we agree a guaranteed minimum, the remedy for a shortfall is a "make-good" (extra placement time or impressions of similar value) or, if that is not possible, a pro rata refund. These are your sole remedies for under-delivery.
10. Cancellation, changes and refunds
- You may cancel an Order in writing at least 14 days before the start date for a refund of what you paid, minus any non-refundable costs we have already paid to third parties. After that, or once creative production or writing has started, fees for the work already done or the booked period are not refundable.
- Cancelling a running campaign stops future delivery. Fees for the period already delivered, and the current period when we reserved exclusive space, remain due.
- We may cancel or change an Order if we cannot deliver it, for reasons such as site changes, platform or law changes, or a breach of these terms. We refund or credit the undelivered part.
- Sponsored content that we have written for you and you have approved is not refundable.
11. Your promises
You promise that you and the advertiser: have the right to enter the Order; will follow all laws that apply to the advertising, the product and the claims, including consumer-protection, advertising-standards, privacy, marketing-communications, intellectual-property, anti-spam and sanctions laws; hold the licences and approvals needed to sell what you promote; and provide true and substantiated claims.
12. Intellectual property
Each side keeps its own intellectual property. We do not transfer any rights in the site, its design, its tools, its data or its audience. Content we write for you as a sponsored article stays ours unless the Order says it is yours after full payment. You may not reuse our reports, logo or name in your own marketing without our written consent.
13. Confidentiality
Each side keeps the other's non-public information (prices, plans, analytics) confidential and uses it only for the Order, except where the law requires disclosure. This does not stop us from telling our advertising partners or authorities about an unlawful ad.
14. Exclusivity and conflicts
Unless an Order says so in writing, no Placement is exclusive. We may show competing advertisers at the same time, and the same advertiser may appear in different places. We may sell advertising to anyone, including through ad networks and exchanges, and including Google AdSense, and nothing in an Order limits the advertising we show through those partners.
15. Warranty disclaimer and limit of liability
To the extent the law allows, Placements are provided "as is". We exclude all indirect, consequential, special or punitive loss and lost profits, revenue, sales and goodwill. Our total liability for all claims relating to an Order is limited to the amount you paid for the Placement concerned in the 3 months before the claim arose. Nothing limits liability that cannot be limited by law (for example for fraud, or for death or personal injury caused by negligence).
16. Indemnity
To the extent the law allows, you will cover us, our owners, contractors and ad partners for any claim, loss, penalty and reasonable legal cost that comes from your creative, your product or service, your tags, your claims, your landing pages or your breach of these terms or of the law.
17. Events outside our control
Neither side is responsible for a delay or failure caused by events beyond its reasonable control, such as outages, attacks, platform or search-engine changes, power and internet failures, disasters, strikes or government action. We will credit or refund the part that could not be delivered.
18. Suspension and termination
We may suspend or end an Order immediately if you or the advertiser breach these terms or the law, if we receive a complaint we think is valid, if we are asked to by a platform or ad partner, or if the Placement puts our advertising accounts, hosting, search visibility or reputation at risk. We then credit or refund the undelivered part, except where the breach is yours, when no refund is due.
19. Governing law and disputes
These terms are governed by the law that applies to us as the operator of the site. Before starting any claim, the sides will try in good faith to settle the dispute informally within 30 days of a written notice.
20. General
We may update these terms for future Orders. Updates do not change an accepted Order. If any part is unenforceable, the rest stays in force. Signing by email, by click or by electronic signature is valid. You may not transfer an Order without our consent. These terms and the Order are the whole agreement for the advertising.
